Heineken Beverages: The Deal Is Done. Are the Obligations?
The Competition Commission has indicated that Heineken Beverages is in "apparent breach" of conditions attached to its 2023 R40.1 billion merger approval with Distell. The concern relates to the sale of the Strongbow cider brand to black-owned Cider House Investments, a condition imposed to preserve competition following the merger.
The Governance Lens
Merger conditions and public-interest undertakings are binding governance obligations, not aspirational commitments.
Boards should ensure that compliance with merger conditions is tracked, reported and owned at executive level.
Divestiture and empowerment-related conditions require the same rigour as financial covenants.
Companies should maintain evidence trails demonstrating how each condition has been met.
The matter illustrates the reputational and regulatory risk of treating post-merger obligations as a closed transaction rather than an ongoing compliance programme.
UCT: Confidentiality Failures Carry Lasting Consequences
UCT Council publicly released links to reports by retired Judges Navsa and Wallis into complaints against council members, before withdrawing them and apologising after it emerged that one report contained confidential information from a dean appointment process. Vice-Chancellor Professor Mosa Moshabela noted that the harm to affected individuals could not be undone simply by removing the links.
The Governance Lens
Confidentiality is a governance control, not a courtesy; once breached, it cannot be fully restored.
Councils and boards must classify information before publication and apply a formal release-approval process.
Digital distribution means that withdrawal does not equal remediation – harm persists once information is circulated.
Governance bodies should distinguish between transparency obligations and the duty to protect procedural fairness and personal information.
The incident underscores the need for clear protocols on handling investigation reports, legal privilege and personal data.
